Terms of Use

Agreement

These Terms of Use are a binding agreement between you and Santiam Software, LLC ("Santiam Software," "we," "us") for your use of TaskBarn.

These Terms cover the taskbarn.net website, the TaskBarn web app at taskbarn.app, and any TaskBarn mobile or desktop apps (together, the "Service"). Our Privacy Policy explains how we handle your information and is part of these Terms.

By creating an account or using the Service, you agree to these Terms. If you use TaskBarn for a farm or business, you agree on its behalf and confirm you have authority to do so.

Eligibility. You must be at least 13 years old to use TaskBarn. Users aged 13 to 17 may use TaskBarn only through an account set up by their farm account owner, with any consent the law requires. TaskBarn is offered only in the United States.

Accounts

Every TaskBarn user has their own account, connected to a farm account.

Farm account owners manage their farm's subscription and the accounts of their employees, either on their own or with our help during onboarding. As a farm account owner, you are responsible for:

  • Who you give access to, and what they can see and do
  • Removing access when someone no longer works for you
  • Having the right to enter your employees' information and telling them how TaskBarn is used
  • Getting any consent required by law before creating an account for a user under 18
  • All activity under your farm account

All users must give accurate information, keep their sign-in details private, and tell us right away at support@taskbarn.net if they suspect someone else has accessed their account.

When we help with onboarding, we act on the farm account owner's instructions.

Fees and payment

Fees are set out in your invoice, order, or the pricing shown when you subscribe.

Invoices. We currently bill by invoice. Invoices are due within 30 days of the invoice date. If an invoice is more than 15 days past due, we may suspend access after giving you notice. Suspension does not delete your data.

Subscriptions (when offered). We plan to offer monthly and annual subscriptions paid online. If you choose one:

  • It renews automatically for the same term until you cancel.
  • We will show the price, term, and renewal terms clearly before you subscribe, and send a confirmation.
  • You can cancel online at any time. Cancellation takes effect at the end of the current term, and you keep access until then.
  • For annual plans, we will remind you before renewal as required by law.

Refunds. Fees are not refunded for partial billing periods. If you are charged for an annual renewal, you may request a full refund within 30 days of the renewal charge. If we close your account without cause or discontinue TaskBarn, we will refund any prepaid fees for the unused part of your term.

Price changes. We will give you at least 30 days' notice before a price change applies to you. It takes effect at your next billing period.

Taxes. Fees do not include taxes. You are responsible for any applicable sales or use taxes.

Your data and content

You own your data. Your farm records, uploads, and other content ("Your Content") belong to you or your farm. You give us permission to store, copy, process, and display Your Content only as needed to provide, secure, and support the Service. That includes sending documents to our AI provider when you ask for a summary.

Uploaded documents. Safety Data Sheets and similar documents are usually published by manufacturers. You confirm you have the right to upload what you add. Documents in your library are visible only to your farm account. If someone tells us a document infringes their rights, we may remove it.

Aggregated data. We may use data that has been aggregated and de-identified, so it cannot identify you, your farm, or your employees, to operate and improve the Service, as described in our Privacy Policy.

Export and exit. You can export your data at any time. After a farm account is closed, we handle its data as described in our Privacy Policy.

Our property. TaskBarn's software, design, and branding belong to Santiam Software. We give you a limited, non-transferable right to use the Service under these Terms. Feedback you send us may be used without obligation to you.

Acceptable use

You agree not to:

  • Use the Service for anything illegal or to harm others
  • Access accounts or data you are not authorized to see
  • Upload malware or content you have no right to share
  • Interfere with or overload the Service, or try to bypass its security
  • Copy, resell, or reverse engineer the Service, except as the law allows
  • Use automated tools to scrape or bulk-download the Service, other than export features we provide

Important limits on how to use TaskBarn

AI summaries are not a substitute for the original. TaskBarn can create AI summaries of documents you upload, such as Safety Data Sheets. These summaries may contain errors or leave out important information. Every summary is labeled and links to the original document. Always read the original before making safety, handling, storage, or application decisions. For any pesticide or chemical, the product label is the legal authority, and you are responsible for following it.

TaskBarn is a record-keeping tool, not professional advice. TaskBarn does not give agronomic, legal, tax, safety, or labor-law advice. You are responsible for meeting the record-keeping, safety, payroll, and other legal requirements that apply to your farm.

QuickBooks. If you connect QuickBooks Desktop through QuickBooks Web Connector, you are responsible for reviewing what is sent to QuickBooks and for your accounting and tax records. QuickBooks is a third-party product, and we are not responsible for its operation or changes Intuit makes to it.

Offline use. TaskBarn works offline and syncs when your device reconnects. Records saved only on a device can be lost if that device is lost, damaged, or reset, or if app data is cleared before syncing. Connect regularly so your records reach your farm account.

Third-party services. The Service relies on services such as Google Maps. Your use of those features is also subject to those providers' terms.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, SANTIAM SOFTWARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI SUMMARIES OR OTHER CONTENT WILL BE ACCURATE OR COMPLETE.

Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, SANTIAM SOFTWARE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CROPS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 IF YOU HAVE NOT PAID US.

Some states do not allow some of these limits, so they may not fully apply to you.

Indemnity

If you use TaskBarn for a farm or business, that farm or business agrees to defend and hold Santiam Software harmless from third-party claims arising from Your Content, your misuse of the Service, your breach of these Terms, or your failure to follow the law, including product labels and labor laws.

Ending your use

You can stop using TaskBarn and close your farm account at any time. We may suspend or end access if you seriously or repeatedly break these Terms, fail to pay, or if the law requires it. Where reasonable, we will give notice first and a chance to export your data.

If we permanently discontinue TaskBarn, we will give farm account owners at least 60 days' notice so they can export their data.

Sections on data ownership, fees owed, disclaimers, limitation of liability, indemnity, and governing law survive after your use ends.

Governing law and disputes

These Terms are governed by the laws of the State of Oregon. Any dispute will be resolved in the state or federal courts serving Linn County, Oregon, and you and we agree to those courts' jurisdiction. Before filing a claim, please contact us so we can try to resolve it informally.

Changes to these Terms

We may update these Terms as TaskBarn changes. We will post the new version on taskbarn.net with a new effective date. For material changes, we will notify farm account owners by email or in the app at least 30 days before they take effect. Continuing to use the Service after that means you accept the changes.

General

These Terms and our Privacy Policy are the entire agreement between you and us about the Service, unless you have a separate signed agreement with us, which controls where it conflicts. If any part is found unenforceable, the rest stays in effect. Not enforcing a term is not a waiver. You may not transfer these Terms without our consent; we may transfer them with a sale or reorganization of our business.
